Electrolink reserves the right to modify these terms at any time. Any modifications will be effective immediately upon posting on our Site. The Client's continued use of the Site and our services after any modifications indicates acceptance of the revised Terms and Conditions.
2. Confidentiality
Electrolink acknowledges that all information provided by the Client through the RFQ form or during any transaction will be treated as confidential. We will not disclose such information to any third party without the Client's prior written consent, except as required by law or necessary to fulfill the purposes of the RFQ or transaction. Electrolink will take reasonable measures to protect the confidentiality of the information provided.
3. Accuracy of Information
The Client warrants that all information provided in the RFQ form, during registration, or during any transaction is accurate, complete, and up-to-date. The Client agrees to promptly notify Electrolink of any changes to the information provided. Electrolink shall not be liable for any losses or damages arising from any inaccuracies or omissions in the information submitted by the Client.
4. Use of Information
The information collected through the RFQ form, registration, or transaction will be used exclusively for preparing a detailed quotation, processing orders, and for related internal purposes, such as assessing project feasibility and requirements. Electrolink will not use the information for any other purposes without the Client's explicit consent. The Client grants Electrolink a non-exclusive, royalty-free license to use, reproduce, and modify the information provided solely for the purposes of preparing the quotation, processing the order, and delivering the services or products.
5. No Obligation to Quote
Submission of an RFQ form does not obligate Electrolink to provide a quotation. Electrolink reserves the right to decline any RFQ at its sole discretion without providing any reason. Electrolink may, at its discretion, request additional information or clarification from the Client before providing a quotation.
6. Quotation Validity
Any quotations provided by Electrolink are valid for a specific period, as stated in the quotation. After the expiration of this period, the quotation is subject to revision at Electrolink's discretion. Quotations are based on the information provided by the Client and may be subject to change if the scope or requirements of the project change.
7. Orders and Acceptance
All orders for products and services must be made in writing, through our designated online platform, or via our eCommerce catalog. Orders are subject to acceptance by Electrolink, and no order shall be deemed accepted until confirmed in writing by Electrolink. Electrolink reserves the right to reject any order at its discretion.
8. Pricing and Payment
All prices are quoted in BGN (Bulgarian Lev) for clients in Bulgaria and in EUR (Euro) for clients in other European countries. Prices are exclusive of taxes, duties, and shipping costs unless otherwise stated. Payment terms will be specified in the quotation or invoice. Payments are to be made via bank transfer upon receipt of an invoice or proforma. Electrolink reserves the right to require advance payment or a deposit for certain orders.
9. Delivery and Risk of Loss
Delivery dates are estimates only and are not guaranteed. Electrolink shall not be liable for any delays in delivery. Risk of loss or damage to products passes to the Client upon delivery to the carrier. The Client is responsible for inspecting the products upon receipt and notifying Electrolink of any damage or discrepancies within five (5) business days.
10. Title and Ownership
Title to the products shall pass to the Client only upon full payment of the purchase price and any other amounts due to Electrolink. Until such payment is received, Electrolink retains title to the products.
11. Warranty
Electrolink warrants that products supplied will conform to the specifications set forth in the quotation or order confirmation. This warranty is valid for a period of twelve (12) months from the date of delivery. Electrolink's liability under this warranty is limited to the repair or replacement of defective products, or at Electrolink's option, a refund of the purchase price. This warranty does not cover defects resulting from misuse, neglect, or unauthorized modification.
12. Returns and Refunds
Returns of products are subject to Electrolink's prior written approval and must be made within thirty (30) days of delivery. Returned products must be in their original packaging and in unused condition. The Client is responsible for all return shipping costs. Refunds, if applicable, will be processed within thirty (30) days of receipt of the returned products.
13. Intellectual Property
All intellectual property rights in any materials and information provided by Electrolink in response to an RFQ, in connection with the sale of products and services, or available on the Site remain vested in Electrolink. The Client is granted a non-exclusive, non-transferable license to use such materials and information solely for the purpose of evaluating the quotation and for the intended use of the products and services. The Client shall not disclose, reproduce, or use Electrolink's intellectual property for any other purpose without Electrolink's prior written consent.
14. Limitation of Liability
To the maximum extent permitted by applicable law, Electrolink shall not be liable for any direct, indirect, incidental, consequential, or punitive damages, or any other damages of any kind, arising out of or related to the use of the RFQ form, the information provided therein, the purchase and use of Electrolink's products and services, or the use of the Site. This limitation of liability applies regardless of the legal theory under which such damages are sought, including contract, tort, negligence, or otherwise.
15. Indemnification
The Client agrees to indemnify, defend, and hold harmless Electrolink, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees and costs) arising out of or in any way connected with the Client's breach of these Terms and Conditions or the Client's use of the RFQ form, the Site, and purchased products and services.
16. Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of Bulgaria. Any disputes arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of Bulgaria.
17. Compliance with GDPR
Electrolink is committed to complying with the General Data Protection Regulation (GDPR). Any personal data collected will be processed in accordance with our Privacy Policy and applicable data protection laws.
18. Severability
If any provision of these Terms and Conditions is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remainder of these Terms and Conditions, which will remain in full force and effect. The invalid or unenforceable provision shall be replaced by a valid and enforceable provision that most closely matches the intent of the original provision.
19. Entire Agreement
These Terms and Conditions constitute the entire agreement between the Client and Electrolink regarding the RFQ, the sale of products and services, and the use of the Site, and supersede all prior agreements and understandings, whether written or oral, relating to the RFQ, the sale of products and services, and the use of the Site. Any amendments or modifications to these Terms and Conditions must be in writing and signed by both parties.
20. No Waiver
The failure of Electrolink to enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms and Conditions will be effective only if in writing and signed by Electrolink.
21. Force Majeure
Electrolink shall not be liable for any failure or delay in performing its obligations under these Terms and Conditions due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, natural disasters, strikes, or governmental actions.
22. Assignment
The Client may not assign or transfer any of its rights or obligations under these Terms and Conditions without the prior written consent of Electrolink. Electrolink may assign or transfer its rights and obligations under these Terms and Conditions without the Client's consent.
23. Notices
All notices or communications required or permitted under these Terms and Conditions shall be in writing and delivered by hand, email, or certified mail, return receipt requested, to the address specified by the receiving party.
24. Survival
The provisions of these Terms and Conditions that by their nature should survive termination, including but not limited to confidentiality, intellectual property, limitation of liability, and indemnification, shall survive any termination or expiration of these Terms and Conditions.
25. User Accounts
Client accounts for accessing the eCommerce platform will be created by Electrolink for its business partners. Clients are responsible for maintaining the confidentiality of their account information, including their password, and for all activities that occur under their account. Clients agree to notify Electrolink immediately of any unauthorized use of their account or any other breach of security.
26. Use of eCommerce Platform
By using the eCommerce platform on the Site, Clients agree to comply with all applicable laws and regulations. Clients are prohibited from using the eCommerce platform to engage in any fraudulent or illegal activities. Electrolink reserves the right to suspend or terminate access to the eCommerce platform for any Client who violates these Terms and Conditions.
27. Product Descriptions and Availability
Electrolink strives to provide accurate product descriptions and availability information on the Site. However, Electrolink does not warrant that product descriptions or other content on the Site are accurate, complete, reliable, current, or error-free. In the event that a product is unavailable or incorrectly priced, Electrolink reserves the right to cancel the order and refund any amounts paid by the Client.
28. Shipping and Delivery
Shipping and delivery terms, including costs and estimated delivery times, will be specified at the time of order. Electrolink will use reasonable efforts to meet delivery estimates but is not responsible for any delays caused by the carrier or other factors beyond its control. The Client is responsible for any additional charges incurred due to incorrect shipping information provided by the Client.
29. Export Control
Products purchased from Electrolink may be subject to export control laws and regulations. The Client agrees to comply with all applicable export control laws and regulations and not to export or re-export the products in violation of such laws and regulations.
